By accessing or using Zarela.ai, you agree to these Terms. If you do not agree, do not use the services.

Zarela provides an AI-powered transportation operations platform that may include features related to:

- Quote and order intake

- Reservation and dispatch workflows

- Driver and fleet operations

- Monitoring and communications

- Invoicing, payouts, billing, and reporting

- AI-assisted automation and integrations with third-party systems

We may modify, improve, suspend, or discontinue any part of the services at any time.

3. Account Registration

To access certain features, you may need to create an account. You agree to provide accurate and complete information and to keep it updated.

You are responsible for:

- Maintaining the confidentiality of your login credentials

- All activities under your account

- Promptly notifying us of unauthorized access or security issues

4. Acceptable Use

You agree not to:

- Use the services for unlawful, fraudulent, or deceptive purposes

- Interfere with the operation or security of the services

- Attempt unauthorized access to accounts, systems, or data

You represent that you have the necessary rights and permissions to provide any data you submit.

6. AI Features

Some features may rely on artificial intelligence or automated decision support. AI-generated outputs may contain errors, omissions, or inaccurate conclusions. You are responsible for reviewing important outputs before relying on them in production, dispatch, billing, compliance, legal, or customer-facing decisions.

7. Third-Party Services

The services may integrate with third-party providers such as email systems, phone providers, payment processors, telematics platforms, and transportation systems. Your use of third-party services is subject to those third parties’ own terms and policies. We are not responsible for third-party services or their availability.

8. Fees and Payments

If you purchase paid services, you agree to pay all applicable fees, taxes, and charges. Fees are generally non-refundable unless required by law or expressly stated otherwise.

We may change pricing or billing terms with reasonable notice.

9. Intellectual Property

The services, including software, content, branding, trademarks, and related materials, are owned by Zarela or its licensors and are protected by applicable intellectual property laws.

Except for the limited right to use the services under these Terms, no rights are granted to you.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZARELA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT THE SERVICES WILL NOT BE UNINTERRUPTED OR ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZARELA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZARELA’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT PAID BY YOU TO ZARELA IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Zarela and its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses arising out of:

- Your use of the services

- Your data

- Your violation of these Terms

- Your violation of any law or third-party rights

14. Suspension and Termination

We may suspend or terminate your access to the services at any time if:

- You violate these Terms

- Your use presents a security, legal, or operational risk

- We are required to do so by law

- Fees remain unpaid, where applicable

You may stop using the services at any time.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles.

16. Changes to These Terms

We may update these Terms from time to time. Continued use of the services after updated Terms become effective means you accept the revised Terms.
